So long as the BOD doesn't make a resolution to have one, it is not required.

It doesn't matter if it's annual or not. If it's not required, it's not required.

There has to be a RESOLUTION by the BOD to require it. If they don't resolve it's not required.

I can have an annual birthday party... but if I'm not feeling up to it, I can cancel it because a birthday party is not required unless I resolve to have one.
