But in the real world, the bylaws state:
Section 1. Annual Meeting. The annual meeting of the shareholders shall be held on such date as the Board of Directors shall determine by resolution.
This does not say an annual meeting is not required. It does not say the shareholders meeting can be held every 3 years or not at all. It addresses an annual meeting - annual means every year. The fact that the BOD shall determine the date of the annual meeting simply means selecting a date each year.
Saying otherwise is silly. It's like saying a labor union has a contract for an ANNUAL wage increase but the company can pay it every 4 years or not at all.
Annual = Every year
And according to the argument presented, I guess no evidence of the Easter Bunny doesn't mean he/she doesn't exist. Same for the tooth fairy and Santa Claus.
