PPS has nothing to with buyout value? Sure does! Because the market value, may be well ahead of any buy out offer! The buy out offer better be higher then the PPS, other wise any offer will fall through. It is possible for PPS to go higher, than what any company may be willing to pay. Private company shares can be sold/purchases internally and have value based on the value of the corporation, in this case the offer better be higher than the share price.

A high PPS can play a role in offering, private or public!

The shares act as a medium to distribute the value of the company among share holders.

I believe Amarin shares at the moment are under valued!

The question here is do you think your shares are going to be worth more if we get bought out. Well if the PPS climbs to $40 after reduce-It and we get an offer for $50 should we sell, I say no!
