Hate legalize but the way I see it is a)No...I believe right now Pandey's assets mentioned in the Pledge Agreement are pledged to Alembic as part of that loan agreement(I could be wrong here-have to find that)-upon payment of Alembic, they are pledged to Basu...
b)if Pandey lost pledged assets to Basu, company would pay him-but we aren't there yet...not until Alembic paid off-or court proceedings/settlements wash it away
Pandey Pledge Agreement. In order to induce the Purchasers to purchase the Units, Dr. Ramesh Pandey, the CEO of the Company, agreed to pledge to the Unit holders, effective as of the date that the indebtedness of the Company to Alembic, Limited is satisfied, 100% of the beneficial ownership in PRC Holdings, LLC and PCR Holding Company, Inc. (collectively, the “Pledged Interests”), which hold, collectively, 25% of the beneficial ownership in Vineyard Productions, LLC (“Vineyard”). Vineyard is the entity that owns the office building complex in which the Company’s offices and laboratory are located. Dr. Pandey shall be entitled to a release of the Pledged Interests at such time, if any, as the Company either pays off the Debentures, or posts cash collateral (or the substantial equivalent thereof) of $1,500,000 to the holders of the Debentures. The Company has agreed to indemnify Dr. Pandey for any loss he may incur in the event he loses any of the Pledged Interests to the Debenture holders as well as to compensate him or a charity of his designation, in consideration for providing this collateral. The Pledge Agreement also provides to Dr. Pandey the right to pledge the Pledged Interests to secure the remaining obligations of the Company to Alembic, Limited.
This 8k may have been for Soji(Oct 29 event)-hence 8k 4 days later...
as far as Alembic-note due 30 Sept-I believe they had 30 days to remedy-they did not, so it was included in the filing-I believe I read that in the Alembic Agreement somewhere-I may be crazy...
Also, isn't Pandey property used as collateral against loan????...maybe the company is playin' hardball with him-let loan lapse???...got a headache trying to read the Alembic Security Agreement...
The following is certainly no defense of the silence and lack of info they have subjected us to-and resultant PPS plunge-but they have been somewhat consistent in disclosing certain material events since the filing of the last 10Q they filed in May for the 1st Quarter...
since then, they have 8K'd the following:
Addition of Swift to BOD
Addition of Biggs to BOD
Removal of B. Pandey
Removal of R.Pandey
Closing and downsizing of Headquarters
App't of Swift as CEO
Lawsuit by R. Pandey
Failure to file 10Q for Quarter 2
Change in Swift title to Oversight guy
Lowering of CD to .01 due to non-payment of Aug 31 interest to PIPE
new office lease
Termination of active operations XeChem India
status of XeChem ownership(or lack thereof)
and today's 8k...
certainly not the meat anyone wants to hear i.e. sales and factory status...is it because it would be bad news and they are working on it?...
or is there an agenda being followed to enrich a few and separate me from my $$...
dunno...GLTA
Do they know even where that $$ went??...last stated, they couldn't prove who owned XeChem India, which has been thought where that $$ might have gone...
Done...

Well said!!
Any chance anyone can sweet talk some info out of any of these US companies supplying manufacturing material to XeChem Nigeria...
WASHINGTON, D.C., Oct. 31, 2006 - Companies in Florida , Georgia and Illinois are exporting equipment and services to a Nigerian pharmaceutical firm to help it in the fight against sickle cell anemia.
The exports by American Plastics Technologies, Inc., Schiller Park , Ill. ; FinancialBridge, Inc., Miami , Fla. ; Nitra Group, Aventura , Fla. ; and Fischer Scientific Co. LLC, Suwanee , Ga. , are being made possible by a $9.3 million loan guarantee from the Export-Import Bank of the United States (Ex-Im Bank). American Plastics Technologies and FinancialBridge both are small businesses.

Re:shareholder meeting...IMO they have no obligation as a Pinkie to hold a AGM..the only Pink tier that is required is the Pink Sheet OTCQX-the top tier-and that ain't us...
however, they are governed by Delaware Corp law and I believe they are required to hold one-either a physical(and I am sure it might get physical LOL) or a virtual one...
here is the Delaware corporate stuff on meetings...

yeah, but will it make you wear glasses...LOL
I for one don't mind the "old" DD at all...it is amazing to me that a treatment can be mentioned in so many medical journals and conferences in so many countries in this world, and the stock of the company that will hopefully market it sits at less than 1/2 penny....
tough to argue the pro side of the pps slide from 11 1/2 cents to here....but the con side is easy-some here do it well...
to those who continue to paint the big picture of the drug, I thank you...
and once all those involved in the money aspect of this company put 8 of their 10 hands back in their pockets, the stock side of the story will hopefully prosper...

With the possibility of another lowering of the convert price-and the subsequent glut of shares that would result in-it might be a good idea to keep an eye on the share structure...
Have seen many pinks raise AS with shareholders in the dark...I haven't talked to the TA here so I don't know if they are gagged or not-but the share structure is available from the State of Delaware via the following automated phone message...

Interesting that it would appear in a paper dealing with the Complementary approach to alleviating cancer symptoms...
Speaking of the Middle Finger, don't know if this is fact or fiction, but...
The History of the Middle Finger
Well, now......here's something I never knew before, and now that I know it, I feel compelled to send it on to my more intelligent friends in the hope that they, too, will feel edified. Isn't history more fun when you know something about it?
Before the Battle of Agincourt in 1415, the French, anticipating victory over the English, proposed to cut off the middle finger of all captured English soldiers. Without the middle finger it would be impossible to draw the renowned English longbow and therefore they would be incapable of fighting in the future. This famous English longbow was made of the native English Yew tree, and the act of drawing the longbow was known as "plucking the yew" (or "pluck yew").
Much to the bewilderment of the French, the English won a major upset and began mocking the French by waving their middle fingers at the defeated French, saying, See, we can still pluck yew! Since 'pluck yew' is rather difficult to say, the difficult consonant cluster at the beginning has gradually changed to a labiodentals fricative F', and thus the words often used in conjunction with the one-finger salute! It is also because of the pheasant feathers on the arrows used with the longbow that the symbolic gesture is known as "giving the bird."
And yew thought yew knew every plucking thing.
Might look like this...
