Every time I've ever seen that announcement, the stock has gone from trip zeroes to .01. Sounds crazy but it just might work. This is not just a momo play, it's a curtain replacement play.

For any newbie reading this who is trying to figure out why the mere termination of a private offering should make a stock run, it shouldn't. It is a non sequitur. In this case, it is just an excuse for a pump.

Besides, the Board of Directors can always change its mind and decide to begin selling a new private placement tomorrow. Why this is supposed to make the stock run escapes me.

If a dollar of revenue were worth a dollar of stock price, sure... but it's not. You know that. What do you think their earnings per share were on that $10 million in revenue?

But what the insiders just bought at .07 was convertible preferred. From the last 10-K:
"The Company is authorized to issue 10,000,000 shares of preferred stock with a $0.001 par value. As of March 1, 2011, there were 2 holders of record and 6,462,378 shares of series A convertible preferred stock outstanding, each of which is convertible into 1.554 shares of the Company’s common stock. If fully converted, the preferred stock would convert into a total of 10,042,538 shares of common stock."
So you have to multiply the number of additional preferred shares they just bought by 1.554 to see how many shares of common they'll convert into in order to get a new total of "fully diluted" outstanding common shares. Also, you have to divide the purchase price of .07 by 1.554 if you want to see what they paid as it equates to the publicly traded common stock. The recent preferred purchases were equivalent to buying common at .045 -- still a nice vote of confidence in the company, but considerably below the price at which the common was trading as of that date.
The only times I can think of when "eom" makes any sense are in a subject line if there's no text in the body of the message, or in the first line of an email, so that if the recipient's mail program shows him a preview of the message he'll know he doesn't need to bother opening it.

There was another extension until today, and there will have to be another extension after that one because no agreement is getting signed today. Reviewing an agreement for a transaction like this one, followed by back-and-forth negotiations, is time-consuming.

That doesn't make any sense. First of all, I'm surprised that you found a lawyer who believes that this would be a worthwhile class action, given that all possible causes of action are questionable at best and there's no large pot of assets to go after in a settlement, but I guess there are some lawyers with time on their hands.
But suggesting that a lawsuit, which is a civil matter, would result in someone going to jail is just silly.
