Rule 12g-4 -- Certifications of Termination of Registration Under Section 12(g)
1. Termination of registration of a class of securities shall take effect 90 days, or such shorter period as the Commission may determine, after the issuer certifies to the Commission on Form 15 that:
1. Such class of securities is held of record by:
1. Less than 300 persons;
Note that the stock will still trade on the pinksheets even after the 90 days. There will be no change. All the filing does is to terminate the duty to file periodic reports. Most companies on the pinks never even filed a SEC registration in the first place for this very reason.
Simply stated. WHAIQ does not want the common to know anything about their financial status.

World Health Alternatives, Inc. Files Voluntary Petition In Bankruptcy, Announces Sale of Substantially All Assets to Jackson Healthcare Staffing, LLC
PITTSBURGH, Feb. 20 /PRNewswire-FirstCall/ -- World Health Alternatives, Inc. today announced it has filed a voluntary petition for relief under Chapter 11 of the U.S. Bankruptcy Code, along with its subsidiaries World Health Staffing, Inc., a California corporation, World Health Staffing, Inc., a Delaware corporation, f/k/a MedTech Medical Staffing of Orlando, Inc., Better Solutions, Inc., JC Nationwide, Inc. f/k/a MedTech Staffing of Boca Raton, Inc. d/b/a JCNationwide, MedTech Medical Staffing of New England, Inc., and MedTech Franchising, Inc. The Company and its subsidiaries filed petitions today in the U.S. Bankruptcy Court for the District of Delaware in Wilmington, Delaware to facilitate a sale of the Company and its subsidiaries.
World Health also announced that it had entered into a "stalking horse" agreement for the sale of substantially all of its assets and the assets of its subsidiaries to Jackson Healthcare Staffing, LLC, an affiliate of Jackson Healthcare Solutions, LLC, for a purchase price of approximately $43 million in cash plus the assumption of certain liabilities, including liabilities to retained employees and staffing professionals. A motion has been filed with the Bankruptcy Court seeking approval of bidding procedures and the sale of assets.
In connection with the Chapter 11 filings, the Company also announced that it has secured an approximately $37 million debtor-in-possession (DIP) financing facility from CapitalSource Finance, LLC. The Company anticipates that the DIP financing, together with its ongoing revenue stream, will be sufficient to fund its operations, including payment of employee wages and benefits, during the sale process.
"After careful consideration we concluded that a sale of the Company through a Chapter 11 auction process will best maximize the return for all stakeholders of the Company and is the best way for the Company to continue providing the level of service its customers expect," said Benjamin Jones, President and Restructuring Officer of the Company. The sale is expected to be consummated in six to eight weeks.

WHAI - But wait there's more
Appears the CEO was just a common college drop-out and then lied about it. Hmmm...could this have something to do with his rapidly declining health.
After World Health sued New York-based private investor Crusader Investments LLC in February for breach of contract, the company and McDonald were sued for $20 million for libel by Transaction Advisory Services, a subsidiary of Crusader.
As part of that suit, in a letter to the U.S. Securities and Exchange Commission, Transaction claimed McDonald misrepresented himself by falsifying his resume.
Transaction claims McDonald said he was a graduate of the University of Pittsburgh, but that it has a transcript showing McDonald attended the school but did not graduate.

WHAI – CEO resigns minutes before the CC
http://biz.yahoo.com/bw/050816/165351.html?.v=1
“Mr. McDonald indicated that he was resigning for health and family reasons.
At least that is the official story. Rumors abound on the WHAI board. Some say he was spotted walking to the conference room for the CC, other say he has been hospitalized since Saturday and yet other say he had a nervous breakdown. Of course the rumor of plain old firing is out there as well.
The coincidence of resigning minutes before the CC is just too much and then on top the boiler plate PR.
WHAI dropped 32% or $1.12 to 2.35 at the close. Low was 2.20. I caught the falling knife at 2.36. Minimum bloodshed so far but may have been premature though. If it breaks $2.20 I’ll bail to pick it up lower.

FTGXD - Predictive
Another day, the same pattern. A little bit of low volume retail trading all day and then during the last half hour the big boys comes buying. Today it really started at 15.15.57 ET, when the first of the one per minute 200 share buy was executed. Look at this. You need to read from the bottom to the top. The best ask at the time was about 3500 shares at $3.24
3.24 2 (Q)15.30.57
3.24 2 (Q)15.29.58
3.24 2 (Q)15.29.57

3.24 1 (Q)15.17.12
3.24 2 (Q)15.16.57
3.24 2 (Q)15.15.57
See anything unusal? Yep, on the 57th second of every minute a 200 share trade at ask is executed. Once, I saw the pattern and recognized that a big boy had entered and was trying to accumulate without causing the price to go through the roof, I decided to join in and added two batches of 200 shares each at 3.24 to those I had already bought during the day. And then at 15.47.57 the last one per minute trade is done and it goes crazy
3.43 2 (C)15.50.02
3.38 1 (C)15.50.02
3.38 1 (Q)15.50.02

3.28 2 (Q)15.49.31
3.25 1 (Q)15.48.19
3.25 2 (Q)15.47.57
Now, the trades are just pouring in all market buy orders until 20,000 shares later this trade ends the frenzy
3.61 1 (Q)15.51.53
and after that all is normal retail. Closed at 3.48. I missed the top, had my exit set at 3.65
Now, this is the third day in a row with similar action during the last half hour or so before closing. So far this is a “can’t miss” proposition, buy low during the middle of the day, wait for the run during the last 10-15 minutes and unload, repeat next day
