All too often in the past, you read or heard a comment or drew your own conclusion on a matter without fully understanding what was said, written, or decided upon by professionals whose job it is to deal with the facts of the matter and render a conclusion.
If you believe it is snowing in Florida today and the temp is -20 degrees, nobody can convince you otherwise since you have made up your mind that you are correct and everyone else is wrong,
If others with more experience in these matters have not taken action, what makes you think you know more than they do ?
With that in mind, If you still believe you are right, looking for a law firm to file action against a company. Look at Century Link (Symbol CTL), or Qualcomm (Symbol QCOM) and see the names of law firms filing class action suits against these companies on behalf of shareholders.
Or, contact your broker who can give you the name(s) of the agency or agencies that could look at the matters you think pertain to your issues.
Maybe if you contact one of them, they will listen to your issues and perhaps suggest how to proceed. I do not think you are knowledgeable enough to file on your own against a corporation.

I'm hoping Trump passes a tax cut package AND lowers the tax rates before year-end and before any buyout occurs..
I'm hoping that IDCC declares some type of special dividend to boot by the end or the year. With over $800 million in the bank and another $1 billion coming by 2022 from regular licensees, there certainly is enough cash to go around not only to the insiders but shareholders as well.
I'm also hoping that LG, ZTE settle in the next 90 days.
Lastly, I'm hoping for a steady and organized move up back into the $90's by the end of September.

$40.0 million, or $1.14 per diluted share, in second quarter 2016.

Additional Financial Highlights for Second Quarter 2017

IF I find the time, I am going to run my H&R Block tax program with 2 scenerio's:
1. Make like I sold stock at the $100 level and calculate the tax consequences (Federal)
2. Make like I sell stock at the $82 level and calculate the tax consequences.
Then, see if I would have been better off selling at $100 and paying taxes or selling at a lower sp and see if the amount I save in lower taxes offsets the amount I lost in stock selling price.
Something to contemplate going into earnings week.
Hutcheson, Merritt, Brezdki and Nolan were in the executive restrooms and somebody leaked something !!! LOL
I would take $100 and then pull the plug, hoping that Trump's tax cuts kick in for the year and reduces taxes.

I'm sorry, but MANAGEMENT and BEST IN CLASS SALES are a joke. Other than the 4 licensing reported in 2016 (Huawei, Apple and two extensions of existing licneses), the company hasn't brought ANYTHING to the bottom line.
So much potentiall; so much opportunityand so much disappointment.
Hundreds and hundreds of small companies out there in the world and we can't bring one of them to the table !
I say it is disgraceful for Merritt and the board.
IMO, they need to sell the company and let someone with expertise in licensing and sales take over.

Hydro: My earnings comments are only that the projections by the company are the ONLY ones that will be accurate.
Who better than the insiders who know the royalty rates and deals can project earnings? The street is given nothing to guide them to project earnings.
No new companies have been signed to license agreements, so there will be no bump in future earnings and no catch up earnings for prior periods.
The street, on the other hand wants to see and puts expectations on an increase in earnings Year Over Year, so obviously a penny miss will hurt the company. Any bump from audit findings will be discounted from the results and from current period earnings.
SO, it all boils down to how good of a projection has the CFO made. Does he project low and show results that are higher OR does he project high and then disappoint with lower results?
IMO the company needs to do something out of the ordinary that will rock the stock price. They have the engineers and the patents to make a run back to higher levels. They have the money to pay a special dividend that would show the street that they can replace excess funds with new funds from new licenses.
But then, the company has their 'BEST IN CLASS LICENSING TEAM' that hasn't delivered anything over the past 6 quarters other than Huawei and Apple, that were LONG OVERDUE.

My suggestion at the ASM was to pay a regular quarterly dividend PLUS an annual special dividend based on a fOrmula as a percentage of profits.
My comment of paying an annual special dividend was to reward shareholders, just like 'paying incentives to insiders' rewards the insiders.
That part of my comment was totally omitted, and the 'pat' comment of "....reviewing dividends regularly ....' was given with no indication of perhaps it is time to do something like that!

InterDigital Announces Pricing of Private Offering of $275 Million of 1.50% Senior Convertible Notes March 6, 2015 7:00 AM EST
WILMINGTON, Del., March 6, 2015 (GLOBE NEWSWIRE) -- InterDigital, Inc. ("InterDigital") (Nasdaq: IDCC) announced today the pricing of its private offering of $275 million aggregate principal amount of 1.50% Senior Convertible Notes due 2020 to be sold to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the "Act"). InterDigital has granted the initial purchasers of the notes a 13-day option to purchase up to an additional $41 million aggregate principal amount of notes, solely to cover over-allotments, if any. The offering is expected to close on March 11, 2015, subject to certain closing conditions.
The notes will be InterDigital's senior unsecured obligations. The notes will pay interest semi-annually in cash on March 1 and September 1 at a rate of 1.50% per year, and will mature on March 1, 2020. The holders of the notes will have the ability to require InterDigital to repurchase all or any portion of their notes for cash in the event of a fundamental change. In such case, the repurchase price would be 100% of the principal amount of the notes being repurchased plus any accrued and unpaid interest.
Prior to December 1, 2019, the notes will be convertible only upon the occurrence of certain events and during certain periods, and thereafter, at any time until the second scheduled trading day preceding the maturity date. The notes will be convertible at an initial conversion rate of 13.8172 shares of InterDigital common stock per $1,000 principal amount of the notes, which is equivalent to an initial conversion price of approximately $72.37, which represents a 35% conversion premium to the closing sale price of $53.61 per share of InterDigital common stock on the NASDAQ Global Select Market on March 5, 2015. In addition, following certain corporate transactions that occur prior to the maturity date, InterDigital will, in certain circumstances, increase the conversion rate for a holder that elects to convert its notes in connection with such a corporate transaction. Upon any conversion, the notes will be settled in cash, shares of InterDigital's common stock or a combination thereof, at InterDigital's election.
The lack of a presentation of the future of Interdigital at the ASM, the brevity of the meeting, and the lack of comments from ANYONE on the board might mean that there is some sort of deal in the offing.
I have listened to many ASM's and the Chairman and/or CEO ALWAYS talks about the future. But this year it was not the case for IDCC>
My two questions (the first and second questions aired were really 'paraphrased' significantly by Patrick.
My question was asking about ANY licenses signed during 2016, (Excluding Huawei, Apple, NEC, and Sharp) while a competitor boasted of over 230 licensees). The response was to look at the quarterly filings for new licensee activity for which I could FIND NO NEW LICENSEES other than the four mentioned).
My second question was to pay a regular quarterly dividend and a special dividend annually from the profits, based on a formula. My comment was that the Insiders are getting rewarded with incentives, so should the shareholders. My 'comment' was left out and the standard reply of reviewing dividends quarterly was brought up.
Next year the format should be a live conference with shareholders allowed to CALL IN THEIR QUESTIONS AND BROADCAST LIVE FOR ALL TO HEAR.

The engineers who are 'BEST IN CLASS' got us there
The market also got us to the $100 level and then brought us down to where we are currently sitting.
The courts ruling on Huawei got us a deal there
The courts rulings on Samsung got us a deal there also.
The ZTE trial victory got us to where we are now, waiting for ZTE's next move.
How many NEW LICENSE DEALS has our BEST IN CLASS SALES TEAM gotten us in the last 2 or 3 years? (Samsung and Huawei don't count because there was court rulings there).
How much money has Hilcrest Labs generated to the bottom line?
How much have out outside directors contributed to the growth of the company, given their 'connections'?
How much in legal fees has the company cost us by not successfully proving the validity af our patents?
Answer those questions trughfully!

While it is not possible to predict anything three decades away, Intel Corp. (INTC) has tried to. In a new survey it commissioned, the forecast is that the driverless, sometime called autonomous, car market will hit $7 trillion a year. The study was done with research firm Strategy Analytics.

Purchase of Toshiba Chip Unit Would Be Icing on the Cake for Western Digital, Guggenheim Says

Western Digital's (WDC) bid for Toshiba's (TOSYY) coveted chip unit is all "upside" for the company and is not necessary for the company to continue its upward trajectory, analysts at Guggenheim wrote in a bullish note Tuesday.
The firm reiterated its "buy" rating and $125 price target on the data storage device maker. Despite this view, the firm believes that the purchase could be accretive to the company's EPS by over $2 per share in the near-term and over $5 per share after accounting for $1 billion in overlapping synergies.
Western Digital shares were up 99 cents, or 1.14%, to $87.63 in premarket trading Tuesday.

Time for the Board to compensate its shareholders/investors with special dividend and an increase to the existing dividend amount and not just themselves.
Buybacks don't always keep the price high. But real cash to investors is something we can put our hands around.

My thoughts on dividends:
1. Pay a base rate, adjusted annually based on prior year profits;
2. Pay a special dividend, paid annually, as a percentage of profits of the prior fiscal year.
I don't hink this would be difficult. I would see this as a win-win-win situation for all concerned.
A. Shareholders would receive part of the annual profits over and above the normal dividend;
B Insiders who hold shares would also benefit from sharing of profits over and above their normal salaries, increases, incentives, and other perks they currently receive.
This might set a trend in other companies and a way to entice individual investors to buy and hold shares of stock in any particular company, especially those where their rate of return and retention of excess profits are significant.

LOOPHOLE: Maybe you can email Investor Relations in advance of the ASM with your questions and concerns.
I am preparing a few questions that I will email in advance AND on the date of the meeting, so that the questions will be answered one way or the other.
I hope that next years meeting would be a combination of an 'In Person' annual meeting WITH webcast like functionality so that those unable to attend in person can email their questions.
I don't appreciate IDCC 'grouping' questions under one single umbrella (like saying x shareholders inquired about dividends) when 1 asks about special dividends, 3 ask about increasing dividends, another asks about stock split dividends, etc.).
If I were to ask a question about 'dividends' it would be something like: In view of the Board paying 'bonuses, etc' to insiders who get paid to do a job, why would the board not declare a special dividend to reward its shareholders who should 'share' in the annual profits in a proportionate basis to that of insiders, since the insiders are risking their own funds in the future of the company and should be compensated accordingly.
JMO but i think it would bring a point or two across to management and the board.
