The common stock provisions state:

...holders of more than 50% of the outstanding shares can elect all directors...

Prior to that:

...with the exception that a plurality is required for the election of directors...

So his voting power ratio would be for other matters and his stock conversion would have to be approved by the directors, am I missing something?
