It 100% for sure was a shell, nothing was done with the shell for over 9 years. It would be impossible to argue that a company dormant over nine years, did nothing, had no money or business etc. was not. It is a perfect example of one.

Assuming we are not discussing a shell company, this is your answer:

2. Shares were issued on 2/3/14. 6 months from that date is 8/3/14.

They come subsequent to the six month holding period and the 90 day period contemporaneously as both apply.
