Wrong. Until a S1 filing is deemed effective, KMAG is not a reporting company. A non-reporting company is not subject to a "blackout" on issuing PRs. For that matter a reporting company is not subject to a "blackout" of non-stock structure related PRs prior to a filing, and the exact opposite occurs: PR material event announced, 8K follows.
