Wrong. Until a S1 filing is deemed effective, KMAG is not a reporting company. A non-reporting company is not subject to a "blackout" on issuing PRs. For that matter a reporting company is not subject to a "blackout" of non-stock structure related PRs prior to a filing, and the exact opposite occurs: PR material event announced, 8K follows.

Neither does the submission of a S1 take nearly 17 months to prepare. Maybe 2-3 months for an audit plugged into a S1 submission, and then 6-8 months for the SEC to deem the registration effective. Assuming they accept the S1. If this grey stock is ever to get off the grey sheet, there is no way around it, a S1 must be filed with an up to date audit included. No loopholes available.

Yeah, Reid is in a "quiet period". A quiet period imposed by his lawyers, as in don't say anything. They obviously told him to stop all OTC filings. And when he tried to attach an OTC like filing to his website - down went the website in Apr 2013.

Thus, before the suspension multiple PRs per month. Since the suspension 1 OTC filing (Dec 2012), one aborted attempt in Apr 2013, and one generic fluffy PR in Oct 2013. Reid is taking his lawyers advice - don't say anything of a material nature.
