What material non public information are they aware of and how do you know that?

If the insiders choose to purchase shares for themselves and file Form 4's I could understand them not being able to purchase if they knew a merger was in the works or some other material event so let them buy for their own personal holdings immediately after filing. Look at NTEK for example and all the form 4's they have filed. Sure gives shareholders confidence when that happens.
