Vero, I certainly hope you are correct.

If you are, then that would explain why there wasn't further disclosure in the proxy about Series C voting rights since they would be irrelevant.

If we assume the proxy is wrong, the math still gives it to YA.

About 1/2 of retailers will vote their shares. Generously, that is 2 million votes. If one of the options gets 1.5M retailer votes, it still isn't enough to carry the day.

What YA wants YA gets.
