vero: Why wouldn't you assume preferred shares would be counted before common?

If we assume the proxy is wrong, the math still gives it to YA.

About 1/2 of retailers will vote their shares. Generously, that is 2 million votes. If one of the options gets 1.5M retailer votes, it still isn't enough to carry the day.
