About 1/2 of retailers will vote their shares. Generously, that is 2 million votes.

Retailers will divide those votes between a reverse split and straight increase in authorized.

Let's say one is more popular and gets 1.5M of the 2M. Without the series C, YA can tip the scales to the losing proposition with only their beneficial interest from converted shares, the new 10%er, and YA management shares. They would not even need the YA-held Series C or other friend-of-YA to carry the day.

I doubt the vote can go for more than the 5B authorized...so I do believe this time the outcome is in the hands of common shareholders. YA can not vote in an as converted basis exceeding the authorized 5B.
