That is true, but why do companies go the reverse merger route and opt not to file with the SEC? That is the question. Why aren't more companies filing an S-1? I know of one penny that went the S-1 route. Management issued themselves 10's of millions of founders'shares and valued the start-up at over $40 million (LOL) with no revenues, no customers, no contracts or even vendors. It opened at 20c and is now at $0,0047 with volume in thousands. This happened in less than 1 month.
