What has failed to be said here is that this form of financing is a double edge sword being that when a share price goes up the note holders stand to make more return than if they drive the price into the sub penny range. Being it is PRIVATE funding the note holder/holders have the option to wait as long as they like before they convert and sell. AGAIN if this were a death spiral the note holder/holders would have converted already and sold off long long ago leaving the share price in the sub penny range and that HASN'T happened.
