LUcent had better get involved right away! Get somebody squeaky clean into the driver's seat... someone very respected by the investment community!

Perhaps one of these guys if they're clean. 3 are ex-Bell Labs (xLUcent). But it has to be someone very, very respected by the money people... and me!!!

Martin S. Smiley,
Executive Vice President, Chief Financial Officer and General Counsel
Mr. Smiley joined mPhase Technologies as Executive Vice President, Chief Financial Officer and General Counsel in August 2000. With over twenty years experience as a corporate finance and securities attorney and as an investment banker, Mr. Smiley serves as mPhase's strategic financial leader. Prior to joining the company, Mr. Smiley served in various financially-related capacities, including a Principal at Morrison & Kibbey, Ltd., a mergers and acquisitions and investment banking firm, a Managing Director for CIBC Oppenheimer Securities, a Vice President of Investment Banking at Chase Manhattan Bank, and a Vice President and Associate General Counsel for Chrysler Capital Corporation. Mr. Smiley graduated with a B.A. in Mathematics from the University of Pennsylvania and earned his law degree from University of Virginia School of Law.

David Klimek,
Chief Technology Officer and Director
Mr. Klimek, co-founder of mPhase Technologies, Inc., has been Chief Technology Officer of mPhase since June 1997 and Director of Engineering since the Company's inception in October 1996. He has more than 18 years of technical engineering and design expertise and presently holds 13 individual or co-authored U.S. patents. From 1982 to 1990, Mr. Klimek was the R&D manager of Digital Controls, Inc. Mr. Klimek received his B.S. in Electrical Engineering in 1982 from Milwaukee School of Engineering, Milwaukee, WI. In addition, he graduated from the U.S. Navy Basic Electronics School at Great Lakes Naval Training Center in 1972.

Steve Simon,
Executive Vice President, Engineering, Research and Development
Mr. Simon joined mPhase in 2003, bringing with him over nineteen years of proven experience in developing leading-edge networking products. Previously, he served in engineering management and emerging technology development positions within Lucent Technologies’ Bell Labs and AT&T Labs. Mr. Simon is an expert in video engineering, and holds a number of system patents in the video technology and multi-media services, including using the telephone network for Pay-Per-View television offerings.

Michael Devlin
Executive Vice President, Sales and Business Development
Mr. Devlin has over twenty-five years of experience in sales, channel strategies, marketing, and business development of leading edge technical solutions to both domestic and global markets. He spent the last decade at Bell Labs of Lucent Technologies and previously AT&T, where he was responsible for the business and channel development for a broad spectrum of technologies developed at Bell Labs. Prior to joining Bell Labs, Mr. Devlin held several positions with Concurrent Computer Corporation over a ten year period, including global industry marketing Director for Airspace Management products targeted towards domestic and international civilian and military agencies. He was also Director of Product Management for real-time software tools, which exploited high speed real-time parallel processing architectures and targeted the financial trading markets, real-time military flight simulation, global lottery systems and high speed data acquisition applications. Over 50% of the sales for these products were international, primarily in Europe and Asia/Pacific regions.

Philip Thompson
Executive Vice President, Product Management
Philip Thompson led the creation of multiple new businesses within Lucent Technologies and AT&T over his 25 year career at Bell Laboratories. Product developments have included PBXs, telephones, voice messaging, network software, CTI, VoIP systems, Video/IP systems and IADs for the enterprise consumer and service provide markets. Phil's products have won a variety of industry awards for innovation and excellence. Prior to joining MPhase in 2003, Mr. Thompson was responsible for technical marketing, strategy and new business development for custom development services leveraging Bell Laboratories intellectual property.
