SEC can stop this by making these debentures require a medallion sig. guarantee just like stock powers and stock transfers.

Non reporting pink sheet stocks have fake convertible debentures just pop up all the time. Just make one up today, and give it to your lawyer on Monday to draft an opinion letter. Have a free trading cert in the mail by Tuesday, and deposited at the broker with opinion letter and forms by Wednesday.

Otherwise criminals will use microsoft word to make cash every day.



Criminals will be criminals regardless of the regulation. Of course you can make it harder for them to operate, but that's really not the issue.

What happens when a fraudulent opinion letter is given? Is the lawyer or insiders that may have sold required to payback investors?

Regulations define the crime. The sentence handed down defines the seriousness of the crime.
