Been saying that's the plan from day one.
Whether SEO own 43% or 52% makes no difference
to me. If SEO pulls this off, I take it as a very
positive move for my position in this company.
If he doesn't take controlling interest through this
Offering, I will become my own worse nightmare,

It seems that IF he elects to participate at all, this would be the outcome-Offer picking up large numbers of shares and possibly more than 50%. Is this a problem in any way? It's a U.S. company, not a Nigerian company. But I don't know the legalities. Let's consider the flip side-what happens if he doesn't participate. Seems like we would be in bigger trouble. Either you believe he wants all he can get because he thinks it's valuable, or you believe he wants to take control for nefarious reasons, or you believe he just will not participate. Is there another option I'm missing?

I'm not going to sit and crunch your numbers, but just glossing over it I'm sure there are some errors there.

Nevertheless, I will start with your presumption at the end of your post, which presumes that Offor has a very good chance of getting a controlling interest through this offering, and whether they planned this scheme all along.

The answer is:

Yes, Duh.

One has to think in the alternative here. If they didn't go this route, then there would have been a private placement and Offor would still get the same result.

They are being nice to us by allowing us the chance to participate.

Get it?
