BLVT will also use those funds to pay off some remaining debt, and have cash. How much for each we don't know as far as I can read in the 14-C.
If PR tomorrow, likely to be end of day, or even during day. Does not seem likely for a PR before the open if the deal only closes tomorrow.
Deal may not close tomorrow.
