The number of shares listed in the table are "diluted" shares, which means that all outstanding options and grants are already counted in that number. I believe the diluted shares only counted the options with a strike price less than or equal to the market price. That can leave a pretty big overhang of underwater options. I haven't read the 10Q's in detail in a year or so, you have to read the footnotes for the specific treatment.
