The company would have to talk to the SEC . A buyback is a filing in which the company goes to the SEC and files papers that it would like to go on the market and purchase its own stock. Which would allow them to hire a Market Maker to go and buy their own stock back on the open market.

Confuscious, companies that do not need to issue stock can buy back stock. EOM
