8-K Exhibit - Prospectus to Potential Buy Out Suitors?
I know the following link is cited as "confidential information provided to the second line holder", although it could just as easily be a prospectus to potential suitors to purchase Eastman Kodak Company (EK).
Per this exhibit, EK has has significantly reduced "NET cash used in operating expenses" from (998) MIL in 2011 to (152) MIL through JUN 2012, and has also outlined a comprehensive plan of reorganization.
It seems plausible that one of our patent bidding consortia members may be considering a possible EK takeover versus purchasing the patents outright. EK has other viable assets, along with a solid business plan for reorganization. The potential suitor would not only obtain the patent portfolio but also a laundry list of viable assets on a global scale. Suitor would obtain exclusive rights to the Kodak name and brand (must be worth a billion in it's own right). The cash saved from not purchasing the patents outright, along with additional cash acquired from liquidation of other assets, would enable suitor to pay creditors.
Seems to me the company may be poised for a take over, and the existing BOD may have entered into BK to ensure they all get there just desserts.
Just some food for thought. Certainly more here than meets the eye IMO.
