You have to know what state HRCT is incorporated in - California I believe but I'm sure I will be corrected if I am wrong. Then go to the website for the state Corporation Commission which is usually under the Secretary of State's office but it varies from state to state. There you can read the rules that would apply.

Of the states I am aware of, all require an annual shareholder's meeting even private companies that are not publicly listed.
