Maybe clear, but it is wrong. The filer of a schedule 13D is not responsible for the actions of the company. The info on that filing is correct "as of that date". The filer only needs to revise if the filer makes a mistake or does something that changes the information given in the schedule 13D.

Company officers are responsible for any changes in the share structure therefore they are required to refile a schedule 13D.

As a private investor the SEC is only concerned that a private investor has become a major holder of the company. If the company increases the OS and the filer is no longer a major holder, then he's free to buy or sell without filing at all. The private investor will often do a follow up filing when he trades the stock just to cover his butt.
