Non issuance definately would not effect current price, although it still needs to be considered when determining an appropriate market cap.

Issuance with restrictions would mean a higher price IF it was a swap for 10 non restriced shares.

I am not positive, but I think they would have to file a S-8 if they were going to do any common for restricted stock transfers.
