That's exactly what it means, as well the proposed 1 for 3 shares to be issued simultaneously, of course the company has promised to file an SB2 registration after the deal closes, but getting this filing by the SEC is anything but a slam dunk and will take months at best. I believe the restricted shares will become free trading 90 days after they are issued, but I'm not sure under these circumstances, so best case is every shareholder will have to wait at least 3 months to sell any shares. I somehow don't think this fact will make the shareholders real happy, but this guy Jamie Kerr will be ecstatic.
