This will be a long post, but follow along and at the end it will be clear why Lou Porter and Bayport Corp have no ownership in Gem Inc or the Mary Ann Placer Claim

Here is the signed agreement as posted by Hardrock Exploration & Mining Inc:
The Company, through the issuance of 5,000,000 shares of its Common Capital Stock, acquired the Mary Ann Placer Mine in the Osceola Mining District, near Ely, Nevada. The transaction closed on the 2nd of December, 1983.
Very soon after that Mr. Christensen, the Secretary/Treasurer of the Company, decided he wanted to move onto the mine and operate it for himself. The Company sold him the mine in exchange for most of his shares of the Company and he resigned as an Officer and Director.
Mr. Christensen was never able to obtain the financing to start the mining operation.
Something doesn't quite add up. If Christensen owned the Mary Ann Placer Mine starting in 1983 why isn't his signature on the contract with Hardrock Energy giving them permission to mine the property?

Hardrock was just formed as a business entity in Utah on 9/8/08 and never even bothered to file their first annual report
2050 South 7500 West, Magna is shared with somebody name Brent Lee (also known as A.I. Brent Lee) who owns a couple of businesses called B.R.L. Investments and AIBL Painting.
Could be a relative of the Equipment managing specialist for Hardrock Energy, Loftin Lee.
Sure enough here is Loftin Lee listed on team AIBL Painting for a bowling tournament:
And another thing that doesn't make any sense. Why would HardRock Energy post their agreement with GEM Inc on a site like http://www.nationsmarketing.com ? If they were a legitimate mining company with the resources to fund a mining operation then they would be able to afford their own website.
Nationalmarketing.com is a site made to advertise Hybrid Magic. Cheesy site too.
Why no fan fare about the purchase of Gem Inc and the property from Bayport Corp when it happened? (if it really happened)

The records we got are from 1999 thru 2004 and in that time period they still sold from 9,000 to 12,400 ounces of gold per year. The owner had a stroke and died and his brother inherited the company. We acquired the company from his brother. We feel that we can operate this mine 24/7, with a 6 yard excavator, 2- 100 yard off road trucks and 2, 6 yard front end loaders and some new equipment that recovers the fine gold that has never been recovered. The Building needs to have some improvements as well. The engineering reports show we have over 1 million ounces of recoverable gold. The other plus is we have water rights to 540 million gallons of water per year. There is a gold mine next door to us that has never been operated because they have no water. I plan to acquire that property and double our reserves. When all the gold is gone, we will sell the water rights to the city of ....Las Vegas.... for 30 Million dollars or more. You can not operate a successful gold mine without water, and lots of it.....
I was able to confirm that Bernard Christensen the original owner of the Mary Ann Placer property did die in 1999 and did have a grandson named Grant Christensen who obviously took over Gem Inc after Bernard passed away:
I did find the following entity in Nevada which not so coincidentally has Michael G Batchlear as an officer as well as Curtis Moore (both names from the Hardrock Exploration document):
I think one of the other officers, Mary Troutman is Carl Moore's sister ... recently deceased if it is the same person I'm thinking it is.
They even have the right letters GME - just not in the right order GEM
Awfully strange coincidence. Giant Mining was formed on 12/30/09 but has since gone in default.

Basically my understanding is that Bernard Christensen bought the claims in 1983. In 1999 when Bernard died his grandson Grant Christensen inherited the claims. In 2007 Bayport Petroleum bought the Mary Ann Pacer claims while Louis Porter was in charge of that entity and the Moore family were just major investors.
In 2009 the Moore family filed fraud charges against Louis Porter which came after Louis Porter and Bayport Petroleum had already lost a big lawsuit against Bibby Financial Systems. Louis Porter resigned his position as an officer of Bayport Petroleum some time in 2009 causing him to lose any ownership rights he may have had for Gem Inc or the Mary Ann Pacer claims.
The Moore family took over Bayport Petroleum corp after Louis Porter left and through their control of Bayport Petroleum corp now control Gem Inc and the Mary Ann Pacer Claims.
Hardrock Exploration doesn't seem legit to me.
I don't trust anything about Bayport Corp at all.
The information about the ownership of Gem Inc and the Mary Ann Placer property seems verified in the post, but I don't trust the numbers being tossed around about the value of the property.
If Grant sold his company and his property to Bayport in 2007 keeping a 4% royalty for himself then he did it very quietly even keeping his name as the owner of the Gem Inc business entity with the state of Utah.
I think this post pretty much makes clear that the Mary Ann Pacer claims will never have any thing to do with EXTO.
