Your response underscores your ability to do DD. If you actually read through the proxy regulations, I think you'll find a different answer pertaining to the shareholder meeting and the solicitation of proxies.
Last time I checked, the SEC was the governing body over the nasdaq, nyse, and all the other exchanges along with the companies who are listed on them.
