Yes it is--I should add they are Legal if the provision does not impede free competition in the marketplace---courts have allowed them as a general rule. If they are buying on the open market its a no brainer.

1) I would say because it's their $$ so they can call the shots on that

and

2) indicates it's most likely a very good company and they don't want the pps running away pre-merger.

also gives them latitude as to how they may want to handle share structure.

personally I feel the more secretive the better

It's a a private company. The way I understood "shareholders" to be was investors that have a voting right in the company because they've funded/invested a lot in the company.
