Man, today wasn't good for the share price. eek. Why didn't I sell 5 cents ago. Things were going well, and I always fall into the trap of believing they'll continue to do well. Once I'm finally beginning to get satisfied with a return on a stock, that's when the bottom falls out.

A strike of the r/s at 4 cents, will result in an even steeper decline in this price post split to well under $4 which will be great for management since they are looking to "support" the price post split which makes their cost of getting to a controlling interest (51%) of the company less expensive. Such a controlling interest of shares is consistent with other parts of the proxy being proposed that if passed will allow the controlling shareholder to enact directives with fewer directors ( 1 or 2) and simple majorities (rather than 2/3 or 3/4 majorities).

The language of the third item the reduction of directors is classic (as well contrary to stated desire to become a NASDAQ listed company) .. "...The Number of Director would enable the Company's board of directors to feature as few as one or two directors..."

Yay! Bob gets to be king of the company

By the time you recoup your investment, Bob can use his controlling investment (maybe with the help of Don) to take this company private without even possibly happening to deal with other directors if Item 3 also passes...though "at this time" he is "not currently" planning to do so....just like a few months ago there was no "pending" restructuring planed.

Interesting that as many of the companies listed in the last annual report as competitors are also private companies rather than public ones.
