So per your premise since management "doesn't care" about short term price near term, if the price pre-split is 4 cents when the 1 to 100 r/s occurs, will management then amend the r/s to a higher ratio 1/200 to get the post split price they desire?

ooop, they can't if there goal is to get a NASDAQ listing with a minimum OS requirement of 1 mill shares

An eroding price pre-split doesn't not bolster their stated r/s objective which is to have as high a post price split as possible to "appear" (via capital restructuring) to be competitive with companies like Meggitt ( http://finance.yahoo.com/q?s=MGGT.L ) and Cubic ( http://finance.yahoo.com/q?s=CUB ) , which are much older well established companies, that VTSI can never really compete with simply on the basis of historical price stability.

Since the goal is to have as high a post split price, you'd think the company would actually want to the support the price pre-split...but that obviously isn't happening

You'd actually think that there should be some sort of min strike price factored into the proxy for a r/s to occur if management was trying to be consistent with their objectives as presented in the CC
