No one is saying management is trying to make the company tank...Management rightly or wrongly just wants to have greater control (more shares) of the ship they turned around with our public financing via this market, and the proxy clearly reflects this desire to make decisions with fewer required directors, and simple majorities instead of 2/3 or 3/4 majorities.

So rather than do anything now that will make this effort to gain greater control more expensive (and maintain/increase current shareholder value) that would raise the PPS, which would result in a need for a smaller ratio r/s like announcing an accounting firm, management is vaguely referring to the future when such events (likes audits and listings) will be beneficial to future investors (like yourself) rather than current ones.

Proxy measures pretty explicitly demonstrate this desire for control, rather the stated intent per the CC of some future audit, and future listing. A lot of red herrings being served on that CC, and a lot of shareholders seemingly willing to eat those red herrings. Does management really believe that competitors will also not point out that VTSI required a R/S to artificially elevate its stock price, especially if a dip in the PPS post r/s leads to a smaller market cap and thus less valuable (on paper) company?
