If CBAI had the money, there would be no need to write this into the LOI. It's very simple, basic and not hard to understand.

This deal is a long way from closing. Matt is depending on the MASSIVE REVERSE SPLIT + MORE DILUTION to make it work. That's basic understanding.
BOD is asking to increase AS post RS. But shareholders should notice they want to increase the AS but not issue the shares
Simple hop skip and a jump to issue them... If they aren't planning to issue/use them then WHY would they need them? WHY not increase the AS a little further down the road? WHY not show their shareholders what they can do with what they've already been given??? (as in ...become profitable FIRST) then ask for the increase?
Can you give me ONE logical reason why they need to increase the AS IMMEDIATELY other than they plan to start USING those shares IMMEDIATELY???
