There is no guarantee this LOI will go through as planned.

Pitman, you are correct. There is absolutely no guarantee that this acquisition will ever be completed. Seems that a lot of obstacles are in the way which will have to be cleared for this deal to get done.
But wait, there's more. Matt is on his way to New York, right? Isn't there a bank or two in that hick city? Nah, probably just walk around the streets and ask for spare change. Then it's on to DC. What's in DC? I won't even speculate.
Looks to me as if all the loose ends are being taken care of in an orderly and efficient manner.
But as I was sayin--There really are a lot of obstacles to clear for this thing to move forward, hence we see that the pps doesn't rise until a final announcement is made that this deal is done.
