IMO, the company will mail to the "shareholders of record" a letter announcing the creation of the new class of shares.

I tend to agree, but I wouldn't sell them just yet. I think your off base about the difference between a press release and an actual 14C filing with the SEC.

They don't have to PR squat. They filed the preliminary document already, now we're just waiting for the definitive one. When that will be?? I wouldn't want to be trying to buy back in on that day though, it might get expensive.

You might get left out with the "wash"(sale rule).

Read the 09/10 SEC filings for CBIS, all of them, then give your opinion.....

Am I understanding all of this correctly?

After 12/31 the company is going to mail every class B share holder a certificate for 1 and only 1 share of the new class A stock and a certificate to buy this new class A stock at 1 share, for $1, for every 10 shares of the class B stock you own??????? or is there more to it???
