because the preferred shares when converted, will put BEHL in a position to have more shares outstanding than authorized (2 bill)
That number did change recently with the return of Shen's Preferred shares. As it stands as of June 30th .. there are only 10,000,000 of the Series B outstanding. That represents 10,000,000,000 (10b) common shares if converted. I don't see Nancy Fisher converting all of her preferred shares any time soon.
I don't know how BEHL get rid of the overhang in the near future without an increase to 12b... I can't imagine that happening.
