Any CEO in right state of mind would never give away 70% voting right before any major acquisition, he would be putting himself in jeopardy by doing that.

This why your theory is incorrect:

Option 1. O/S at X/X/X is 400 million, 70% of that would be 280 million.

Option 2. O/S at y/y/y is 750 million, 70% of that would be 525 million.

Conversion of preferred takes place once only. In that case which option would you take 1 or 2.
