nic - my preference would be 100% market coverage with per unit rate (either fixed dollar amount or % of ASP), with perpetual renewal. New tech (MIH, 802, 4G, etc) provisioned for in the agreement with favorable terms to be negotiated upon 1st intersection of applicable patents or know how.
