I'm not sure about Nevada, but here in NC to maintain your corp status it's a one page form once a year and a check for $150. I can't imagine Nevada being any tougher.

No, tate, riter does not make a good point. A corporation exists only as a creature of the state of its registration. Serac does not, in a legal sense, exist at this moment and will not exist until they are reinstated with the Nevada SOS.

Probably true, but if you don't have a license to do business (which I believe Serac does not), don't have any business to do, and probably plan to let your incorporation lapse......

Well, I think you see my point.

Default with the State is NOT necessarily loss of legal entity. Registration with a State is like paying taxes or a license fee. If you don't pay your taxes, you don't cease to be a person.
