If you look at a stock market glossary of definitions you will see that the float consists only of shares that can be freely traded on the open market.

The "issued" is the total number of shares that have been authorized by the Company but the "restricted" shares that can not be freely traded are not included in the "float".

this is correct float is o/s minus restricted or O/S includes float plus restricted.
