reserve at all times a sufficient amount of Common Stock to enable it to meet its obligations under the Purchase Agreement (it should be noted that the Company adopted a resolution to not issue in excess of 3,500,000,000 shares of its authorized Common Stock without the approval of shareholders as to such increase, and in the event the Company is unable to meet this obligation, it has an affirmative obligation to obtain shareholder approval promptly following the reaching of such level);
