Don't think so Eli. The BOD passed a (symbolic)resolution and then voted to accept the PIPE's $ and terms. The terms stipulate (paraphrasing) that the co. would make sufficient shares available to honor the agreement should any # of triggering events occur.

The BOD giveth and the BOD taketh away.

However, I do think the triggering events may be able to be challenged
