"bought them out lock, stock and patent(s)" - it seems there may be an earnout with some amount of future revenues going to the Tantivy sellers. There is a strong implication of an obligation to enforce the patents. Apparently, Tantivy knew that LU was infringing, but they lacked the resources to take any action until IDCC came along.
