it should be noted that the terms of any deal from the LOI to the definitive agreement are subject to change. one of the great debates on the board has been 'will the number of shares used in the deal change due to the increase in price over the last few months?' i'm on the side who says of course the share count is negotiable, as price fluctuates based on the changing fundamentals of the company, market forces, etc., and how could management know exactly what value each share would represent at the issuance of the LOI relative to the closing date of the deal?
