As the hornbooks state, contractual parties are bound by implied good faith and fair dealing. Intentionally abetting, aiding and seeking delay of the approval of an orphan drug for a certainly terminal disease only to avoid this debt (not to mention being in the middle of near-landmark litigation against market makers for their alleged suppression of value that in effect threatens the company's existence) is such a Black Hat move that I cannot conceive of anyone making said argument and that person seeing management in any more flattering terms than those repeatedly articulated by our resident LP "admirers."
Further, and this is strictly a personal feeling, if such Black Hat move is the case, I would have to agree with said admirers.
