LORDAMERCY--Roxanna arrested for burglary--jury trial 5/18/2026???

The name, age and exact date of birth matches records from her 2011 felony DUI

Every quarterly and annual report requires a truthful answer to the following--

6) Legal/ Disciplinary History

A. Identify and provide a brief explanation as to whether any of the persons or entities listed above in Section 6 have, in the past 10 years:

1. Been the subject of an indictment or conviction in a criminal proceeding or plea agreement or named as a defendant in a pending criminal proceeding (excluding minor traffic violations);

Apparently this incident happened on 3/26/2025. That means every quarterly filed since then --including the recently filed annual report-- omitted this information and, thus, the truth. The question I have is ''who'' decided to do that?

Nevertheless, both the CEO and CFO ''certified'' these disclosures by stating--

1.I have reviewed this Disclosure Statement for Ameerex Corporation.

2.Based on my knowledge, this disclosure statement does not contain any untrue statement of a material factor omit to state a material fact necessary to make the statements made, in light of the circumstances under which such statements were made, not misleading with respect to the period covered by this disclosure statement...



''Duty to Disclose''

''The failure to disclose a criminal proceeding against a high-level officer in a public company is often considered a withholding of a material fact under federal securities laws, specifically if the information is deemed important to a reasonable investor making investment or voting decisions. The determination of whether this failure constitutes a violation depends on materiality, duty to disclose, and the potential to make existing statements misleading.''

AND

Yes, a corporate secretary (or company secretary) is considered a high-level senior officer in a public company, often responsible for governance, board advisory, compliance, and stakeholder communication. They are key officers elected by the board who ensure legal and regulatory requirements are met.

While these charges appear unrelated to corporate operations they do seem to be a reflection of her ethics based on past actions. Again, this just makes me wonder why she was ever installed as an officer/ director in the first place based on her history of running penny stocks. Will this require another ''supplemental'' to explain this apparent omission/ coverup? A bookend to the one they had to post about her BFF Dorliss Bright.

AGAIN..she has not yet been found guilty --but she IS apparently the ''subject of'' an ongoing criminal proceeding according to public records...unless there's another person with that same name, age and date of birth.

Thanks for finding the arrest info!

FYI, the case was transferred from a District Court to a Circuit Court, because Roxie requested a Jury trial, which is granted if the sentence could be over 90 days. Unfortunately for us, the state of Maryland is strict on releasing mug shots, so we are unlucky in not being able to see her smiling face while in jail.
