You can’t establish a wholly owned subsidiary of any kind be it a data base or anything else to circumvent getting out from anybody’s thumb.
I still contend they ( the inclusion of perpetuity) were made under great duress to prevent bankruptcy or face losing the company by default to whoever offered them revolving capital.
I believe this new shell was simply to protect trademarks and associated IP THAT EONTEC AGREED TO SHARE UNDER THAT PERPETUAL AGREEMENT WHEN LL TOOK CONTROL.
