One would have to think that the Kane & McHenry guys anticipate big upside in the PFD class BKTH shares they are getting in this deal.

Yeah, why would they? Also there's still 90 days before it's actually happening. So it's not for certain, winner medical deal seems to be on the back burner maybe it's still there somewhere, who knows? But, there is a pattern.
